If you do not agree to these Terms, please do not use our services. We reserve the right to modify these Terms at any time, and your continued use of the platform constitutes acceptance of any changes.

2. Definitions

• "Platform" refers to the rivyou website, services, and applications
• "User" refers to anyone who accesses or uses the Platform
• "Business Owner" refers to users who create and manage business profiles
• "Reviewer" refers to users who submit reviews
• "Content" refers to reviews, business information, images, and any other material posted on the Platform

3. Account Registration

To use certain features of the Platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 13 years old to create an account. If you are under 18, you must have parental consent to use the Platform.

You retain ownership of the content you post, but grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content on the Platform. You agree not to post content that:

• Not post fake, fraudulent, or incentivized reviews
• Not submit multiple reviews for the same business
• Not use reviews for blackmail or extortion

Business owners may not incentivize positive reviews or threaten negative consequences for negative reviews.

7. Business Profile Claims

Business owners may claim their business profile to manage it. By claiming a business, you represent that you are authorized to act on behalf of that business. We may require verification of ownership before approving a claim.

8. Widget Embedding

Premium subscribers may embed review widgets on their websites. You may not modify the widget code in a way that misrepresents reviews, removes branding (if required by your plan), or violates these Terms. We reserve the right to disable widgets that violate our policies.

9. Intellectual Property

The Platform, including its design, features, and functionality, is owned by rivyou and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Platform without our express written permission.

10. Payment and Subscriptions

Premium subscriptions are billed annually. By subscribing, you agree to:

• Provide current and accurate payment information
• Pay all applicable fees
• Authorize automatic renewal unless you cancel before the renewal date

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. No refunds are provided for partial subscription periods.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIVYOU SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE PLATFORM.

13. Indemnification

You agree to indemnify and hold harmless rivyou, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of another party.

14. Termination

We may terminate or suspend your account and access to the Platform at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason. You may terminate your account at any time by contacting us.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which rivyou operates, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.
